1. Agreement to These Terms
These Terms of Service ("Terms") form a binding agreement between you ("you", "user") and Enjay IT Solutions Ltd. ("Enjay", "we", "us"), governing your use of the Sampark Setu platform, website, and the companion Chrome extension ("SamparkSetu Connector") (together, the "Service").
By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
2. Definitions
- Service — the Sampark Setu platform, website, and SamparkSetu Connector extension.
- Connector — the Chrome extension that connects to your own WhatsApp Web session.
- Content — phone numbers, contact data, message text, and other material you upload or process.
- Account — your registered user account, created via Google sign-in.
3. Eligibility
You must be at least 18 years old and capable of forming a binding contract. If you use the Service on behalf of a business or other organisation, you confirm you are authorised to bind that organisation to these Terms.
4. What the Service Does
Sampark Setu helps businesses manage contact outreach through the user's own WhatsApp Web session, and provides related features such as number verification, business-contact enrichment, group-member extraction (for groups you administer), and message sending. Features available to you depend on your plan.
5. Relationship with WhatsApp and Meta (Independent Product)
Sampark Setu is an independent product. It operates as an automation layer over your own WhatsApp Web session. We are not a partner, agent, reseller, or licensee of WhatsApp LLC or Meta Platforms Inc., and we are not affiliated with, endorsed by, or sponsored by them. We do not use WhatsApp's official Business API.
Your use of WhatsApp through the Service is subject to WhatsApp's own Terms of Service and policies. You are responsible for reviewing and complying with WhatsApp's terms. We do not control WhatsApp, and we cannot guarantee that WhatsApp will not restrict, suspend, or ban any account or phone number. You use the Service, and your own WhatsApp account, at your own risk.
6. Your Account
You sign in using Google. You are responsible for activity under your Account and for keeping your access secure. Notify us promptly of any unauthorised use. We may refuse, suspend, or terminate Accounts in line with these Terms.
7. Acceptable Use
You agree to use the Service only for lawful business communication with people who have a genuine relationship with you or have consented to be contacted. You must NOT use the Service to:
- send spam, bulk unsolicited messages, or messages to people who have not consented or have asked you to stop;
- contact people using numbers or lists you have no lawful basis to use, including purchased or scraped lists;
- extract members from groups you do not administer, or otherwise collect data you are not entitled to collect;
- send unlawful, fraudulent, deceptive, harassing, hateful, or harmful content;
- violate WhatsApp's Terms of Service or any applicable law;
- attempt to bypass the Service's safety limits, reverse-engineer, scrape, overload, or disrupt the Service; or
- resell or provide the Service to third parties except as expressly permitted.
We may set and adjust usage limits to protect users and the Service. You are solely responsible for the content of your messages and for how you use the Service.
8. Your Legal Responsibilities for Contact Data
When you upload or process phone numbers and contact data, you confirm you have a lawful basis to do so and to contact those people. As between you and Enjay, you are the controller / data fiduciary of the contact data you process, and you are responsible for obtaining any required consents and for complying with applicable data-protection laws.
9. The Connector Extension
The Connector runs in your browser and connects to your own logged-in WhatsApp Web session. It does not read or store your private messages, chat history, or contact lists. The Service depends on your maintaining an active WhatsApp Web session; we are not responsible for interruptions caused by WhatsApp, your browser, or your device.
10. Plans, Fees, and Billing
Some features require a paid plan. Current plans and prices are shown on our pricing page. During any free or Early Access period, no fees apply until we notify you that billing will begin. When paid plans take effect, you agree to pay the fees for your chosen plan. Unless stated otherwise, fees are billed in advance and exclude applicable taxes.
11. Refunds
Refunds are governed by our Refund Policy. In summary: a full refund during your first year and a fair pro-rata refund thereafter, processed within 24 hours of your request.
12. Intellectual Property
The Service, including its software, design, and content (excluding your Content), is owned by Enjay and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service while these Terms are in effect. You retain ownership of your Content; you grant us the limited rights needed to operate the Service for you.
13. Privacy
Your use of the Service is subject to our Privacy Policy, which explains what we collect, how we use it, and your rights under the DPDP Act 2023 and, where applicable, the GDPR.
14. Third-Party Services
The Service relies on third-party providers (for example, Google for sign-in, and others listed in the Privacy Policy). We are not responsible for third-party services, and your use of them may be subject to their own terms.
15. Service Availability and Changes
We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features, with reasonable notice where practical.
16. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind to the fullest extent permitted by law. We do not warrant that the Service will meet your requirements, be uninterrupted, or that use of the Service will prevent any action by WhatsApp against your account or number.
17. Limitation of Liability
To the fullest extent permitted by law, Enjay will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business, arising from your use of the Service.
18. Indemnification
You agree to indemnify and hold Enjay harmless from claims, losses, and expenses arising out of your use of the Service, your Content, or your breach of these Terms or of any law or third-party rights.
19. Suspension and Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, misuse the Service, or create risk or legal exposure. On termination, your right to use the Service ends; certain provisions survive.
20. Changes to These Terms
We may update these Terms as the Service or the law evolves. When we make material changes, we will notify you and update the effective date. Continued use after changes take effect means you accept the updated Terms.
21. Governing Law and Disputes
These Terms are governed by the laws of India.
